Shareholder Update - 10 April 2024

General Meeting Results

Dear shareholders,
 
This morning, Murray Irrigation facilitated a general meeting for shareholders to vote for (yes) or against (no) two resolutions relating to the removal of non-member directors Trisha Gorman and Robert Burbury from the Murray Irrigation Board. 

The results of the meeting are as follows: 

Resolution 1: Removal of Director – Mrs Trisha Gorman

•  For: 552
• Against: 740
• Abstain: 6

 Resolution 2: Removal of Director – Mr Robert Burbury

• For: 543
• Against: 745
• Abstain: 10

As a result, both resolutions put forward by the requisitioning directors did not pass.

As communicated with shareholders in the lead up to the meeting, this result means that directors Steven Fawns, Brendan Barry and Troy Mauger will no longer be serving on the Murray Irrigation Board effective immediately. 
 
I understand this process has been difficult on shareholders. As communicated earlier in the week, Murray Irrigation is extending our Employee Assistance Program (EAP) to all shareholders until 8 May 2024. For more information on this, please read this Shareholder Update released on Monday, 8 April 2024. 
 
I’d like to thank you all for taking a keen interest in the future of the company and for participating in the general meeting processes. 
 
A process will now be undertaken to appoint new directors to the Murray Irrigation Board. We look forward to sharing further information with you once the Board has convened to formalise the director nomination arrangements.
