Member Director Nominations and Elections
The Board of Directors of Murray Irrigation includes Member Directors who are elected by shareholders in accordance with the Company’s Constitution.
Member Director positions are subject to a four-year rotational cycle, with vacancies arising as director terms expire. Eligible nominees must either be shareholders of the company or an authorised representative of a corporate shareholder. Where the number of eligible nominations exceeds the number of vacancies, a formal election process is conducted.
The nomination process is overseen by the Company Secretary and Returning Officer, with nominations required to be submitted within the specified nomination period and in accordance with the eligibility requirements set out by the Company. Murray Irrigation also undertakes standard due diligence and eligibility checks on nominees. To support prospective candidates, the company may provide information sessions outlining the role and responsibilities of directors, governance obligations, strategic priorities and the election process.
Where an election is required, voting is conducted electronically via an independent third-party provider to maximise shareholder participation and accessibility. Shareholders are provided with candidate statements and voting instructions prior to the ballot period opening. Directors elected through this process formally take office following the conclusion of the company’s Annual General Meeting and serve until the completion of their respective four-year term.
